Terms of Service

1. About NotForgot

NotForgot is a time-tracking tool for agencies, operated by Peppercord Limited trading as NotLuck ("we", "us", "our"). These terms govern your use of the NotForgot service accessible at notforgot.app.

NotForgot is currently in beta. By using it you agree to these terms. The agency account holder accepts these terms on behalf of their organisation and its team.

2. Beta service

NotForgot is provided as a beta service. This means it is still under active development, features may change, and functionality is not guaranteed to be error-free or continuously available. We make no warranties — express or implied — about the fitness of the service for any particular purpose.

We will give reasonable notice of significant changes where possible, but we may modify, suspend or withdraw features without prior notice during the beta period.

During the beta, every agency in the beta receives every Premium feature free of charge, for as long as the beta runs. The beta will run for at least three months.

3. NotForgot Free and Premium

NotForgot Free costs nothing and has no time limit. It covers up to five active people on your team and unlimited clients. NotForgot Premium adds more people, logging time by WhatsApp, daily reminders, carry-over of last month's hours and billable rates. Premium is £1.50 per active person each month, or £15 per active person each year (the price of 10 months). It is also included, at no extra cost, for the users covered by a paid NotLuck CRM plan while that plan is active.

Credit towards the NotLuck CRM. If you buy a founding plan and, within 12 months of paying, start a paid NotLuck CRM plan, we credit the full amount you paid for NotForgot against your NotLuck CRM fees. The credit is applied once, to the agency that bought the plan, and is not paid out as cash.

3a. Founding Premium lifetime offer

For the first 14 days after the beta ends, agencies that were in the beta, and agencies on the waitlist, may buy Premium for life with a single payment: £69 for up to 5 people, £149 for up to 15 people, or £249 with no limit. These are founding prices. There is no subscription and nothing renews.

Each lifetime plan covers the stated number of active people on your team, unlimited clients, Premium features and every update we make to NotForgot. You can archive someone to free their place. "For life" means for as long as we operate NotForgot. If we ever decide to close it, we will give you at least 90 days' notice, and your time records stay in NotForgot and can be exported at any time.

If NotForgot is not right for you, ask for a refund within 14 days of paying and we will refund the payment in full.

4. Accounts made with an invite code

Agencies that joined with an invite code during the beta are shown as “Premium, free during the beta” and receive every Premium feature free of charge on the terms agreed with them. If you registered an interest in a founding plan before payments were open, that registration was a reservation only and nothing was charged.

5. Acceptable use

You must not use NotForgot to:

• Submit false, misleading or fraudulent time entries.
• Attempt to access another person's account or data without authorisation.
• Probe, scan or test the security of the service or any underlying infrastructure.
• Introduce malware, viruses or any code designed to disrupt the service.
• Attempt to reverse-engineer, decompile or extract the source code of the service.
• Use the service for any purpose that is unlawful or that violates any third-party rights.

We reserve the right to suspend or terminate access for any account that breaches these terms.

6. Agency responsibility for data

The agency account holder is responsible for ensuring that their team and clients are informed about how their data is processed in connection with NotForgot. This includes making this Privacy Policy and these Terms available to relevant individuals.

The agency is the data controller for the time entries and client records it puts into NotForgot. We act as a data processor on its behalf in relation to that data. Our Data Processing Agreement applies.

7. Confidentiality

Your agency agrees to these terms when it signs up, and this section applies to both of us. "We" here means Peppercord Limited and every business and brand it runs, not only NotForgot. It continues after you stop using NotForgot.

• What is confidential. Your client list, client names and codes, what you do for each client, your hours and your team, and anything else you put into NotForgot or that we see while running it for you, that is not public.
• What we will do. Keep it confidential, use it only to run NotForgot for you, and let only the Peppercord staff who need it for that reach it, each bound by a duty of confidentiality.
• Your clients. We never contact your clients, never use your client information for the sales or marketing of NotForgot, NotLuck or any other Peppercord business or brand, and never sell or share it.
• What we ask of you. Keep anything about NotForgot we share with you that is not public to yourselves.
• What it does not cover. Information that is already public through no breach of this section, that the other side already had or worked out independently, or that must be disclosed by law, a court or a regulator. Where the law allows, we will tell you before disclosing anything of yours.
• When you leave. We delete your information as set out in the Privacy Policy, except anything the law requires us to keep, which stays covered by this section.

8. No monitoring

NotForgot does not monitor, record or report on user activity beyond the time entries explicitly submitted. See the Privacy Policy for full details.

9. Availability

We aim for high availability but do not guarantee uptime during the beta period. Planned and unplanned maintenance may occur without prior notice. We will use reasonable efforts to minimise disruption.

10. Intellectual property

The NotForgot software, design and brand are the intellectual property of Peppercord Limited. These terms do not grant you any licence to reproduce, distribute or create derivative works from any part of the service.

Your time-entry data belongs to you. We claim no intellectual property rights over the content you submit.

11. Limitation of liability

To the fullest extent permitted by law, our total liability to you arising out of or in connection with these terms or use of the service will not exceed the total fees you have paid us in the 12 months preceding the claim (which, during the free beta period, is nil).

We are not liable for any indirect, consequential, incidental or punitive losses, including loss of profits, loss of data, or loss of business opportunity, even if we have been advised of the possibility of such losses.

Nothing in these terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by law.

12. Governing law

These terms are governed by the law of England and Wales. Any dispute arising from or in connection with these terms will be subject to the exclusive jurisdiction of the courts of England and Wales.

13. Changes to these terms

We may update these terms from time to time. The "Last updated" date at the top indicates when they were last revised. We will give reasonable notice of material changes. Continued use of the service after changes take effect constitutes acceptance of the revised terms.
